Structra End User License Agreement (EULA)

Effective Date: July 1, 2025

This End User License Agreement (“Agreement”) is a legal agreement between you (“User”) and Structra Technologies LLC (“Company”) for the use of Structra’s software products (“Software”).

1. License Grant

Company grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the Software solely for your internal business purposes strictly in accordance with this Agreement.

2. Restrictions

You agree not to:

  • Modify, translate, adapt, or otherwise create derivative works of the Software.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Software.
  • Rent, lease, sell, sublicense, assign, distribute, publish, transfer or otherwise make the Software available to any third party.

3. Ownership

The Software is licensed, not sold. Company retains all rights, title, and interest in and to the Software, including all intellectual property rights therein.

4. Updates

Company may, from time to time, provide enhancements or improvements to the Software, which may include patches, bug fixes, updates, upgrades, and other modifications ("Updates"). Updates may modify or delete certain features and/or functionalities of the Software. You agree that Company has no obligation to provide Updates or to continue to provide or enable any particular features or functionality.

5. Term and Termination

This Agreement shall remain in effect until terminated by you or Company. Company may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice. Upon termination, you shall cease all use of the Software and delete all copies.

6. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Company be liable for any special, incidental, indirect, or consequential damages whatsoever arising out of or in any way related to your use of or inability to use the Software.

7. Disclaimer of Warranties

The Software is provided "AS IS" and "AS AVAILABLE" without warranty of any kind. Company expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including without limitation any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law principles.
